1. Who we are

These Terms of Service ("Terms") govern the use of digitallume.io and the engagement of services offered by Digital Lume LLC ("Digital Lume," "we," "us," "our"), a limited liability company organized under the laws of the State of Wyoming, United States (Wyoming Secretary of State ID 2026-002096049). Our mailing address and principal office is 30 N. Gould St., Sheridan, Wyoming 82801, USA.

Our services are provided to clients located outside the United States as well as to other clients by agreement.

2. Services

Digital Lume provides the following services, as described on our website:

• Performance Marketing (paid media, technical SEO, and related services)
• Web Development (custom-coded websites and platforms)
• AI & Automation (custom agents, workflows, and integrations)
• Cloud & Security (infrastructure deployment, monitoring, and related services)

The specific scope, deliverables, timeline, and cost of any engagement are set out in a separate signed agreement, proposal, or statement of work agreed between Digital Lume LLC and the client ("the Agreement"). These Terms apply alongside that Agreement. Where the Agreement and these Terms conflict, the Agreement takes precedence.

3. Ownership, intellectual property, and data

Ownership of deliverables, code, data, and any other work product produced during an engagement, including who owns what during and after the engagement, is governed entirely by the individual Agreement signed with each client. These Terms do not assert a default ownership position. Clients should refer to their specific Agreement for these terms, or contact us if anything is unclear before work begins.

4. Client responsibilities

Clients are responsible for providing accurate information, timely feedback, and any access, credentials, or materials reasonably required for Digital Lume to deliver the agreed services. Delays caused by incomplete or late information may affect project timelines.

5. Payment

Payment terms, including deposits, milestones, invoicing schedule, and currency, are set out in the individual Agreement for each engagement. Unless the Agreement says otherwise, each party is responsible for taxes, duties, and bank charges that arise in its own country.

6. Limitation of liability

To the fullest extent permitted by applicable law, Digital Lume LLC's total liability arising out of or in connection with any engagement is limited to the total fees paid by the client for the specific engagement giving rise to the claim. Digital Lume LLC is not liable for indirect, incidental, or consequential losses, including loss of profits, revenue, or data, except where such liability cannot be excluded by law.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.

7. Confidentiality

Digital Lume treats client information shared during an engagement as confidential and will not disclose it to third parties without consent, except where required by law. Publicity, case studies, or public reference to a client engagement will only be made with the client's explicit agreement.

8. Termination

Either party may terminate an engagement in accordance with the terms set out in the individual Agreement. In the absence of specific termination terms in the Agreement, either party may terminate with written notice, with payment due for work completed up to the termination date.

9. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or an engagement with Digital Lume, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules.

The state and federal courts located in Wyoming have exclusive jurisdiction over any such dispute, unless a specific client Agreement provides otherwise. Nothing in this section limits any mandatory rights a client may have under the law of their own country that cannot be waived by contract.

10. Changes to these Terms

Digital Lume may update these Terms from time to time. The current version, with its date, will always be available on this website.
